Welcome to QSpot. By creating an account or using our platform, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before proceeding.
By accessing or using QSpot's mobile application, website, or related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
QSpot Technologies Inc. ("QSpot," "we," "us," or "our") is a corporation incorporated federally under the laws of Canada, with its head office at 9155 Emerald Drive, Whistler, British Columbia V8E 0G5. QSpot operates a peer-to-peer marketplace that lets users buy and sell positions in physical queues and lines (each, a "Spot"). A user holding a place in a line (a "Seller") can list that place for sale, and another user (a "Buyer") can purchase it and take over the Seller's position when the two meet in person. QSpot currently operates in Canada and may offer the Service in the United States where indicated in the app.
You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. By using QSpot, you represent and warrant that you meet these requirements. The Service is currently available in Canada, and in the United States where offered in the app.
To access the Service, you must create an account using a supported third-party authentication provider (Google or Apple). For added security, we may ask you to verify a mobile phone number by entering a one-time code sent to you by SMS (two-factor authentication). You are solely responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify QSpot immediately of any unauthorized use. QSpot is not liable for losses arising from unauthorized access to your account caused by your failure to safeguard your credentials.
QSpot provides a technology platform that connects Sellers holding a place in a queue with Buyers who wish to purchase that place. QSpot is not a party to any agreement between a Seller and a Buyer. We do not own, operate, control, or manage any venue, event, business, or line, and we are not responsible for the acts or omissions of any Seller, Buyer, venue, or third party. Whether a venue, event, or establishment permits a place in its line to be transferred is outside QSpot's control and is the responsibility of the users involved.
As a Seller, you represent, warrant, and agree that:
(a) You genuinely hold the place in the line that you list, and you have the right to transfer it;
(b) Selling or transferring your place does not violate the rules, terms, or policies of the venue, event, business, or establishment operating the line, or any applicable law;
(c) Your listing is accurate, current, and not misleading;
(d) You will keep your listing active by checking in when prompted — listings are automatically de-listed if you do not check in at least once per hour, and in any case expire no later than sixteen (16) hours after they are created;
(e) You will honour confirmed sales and meet the Buyer at the agreed location to hand over your place in the line;
(f) You will not discriminate against any Buyer on any ground prohibited by applicable law, including the British Columbia Human Rights Code, the Canadian Human Rights Act, or applicable US civil-rights laws;
(g) You will conduct yourself lawfully and safely when meeting a Buyer.
As a Buyer, you agree that:
(a) You will arrive at the agreed meeting location on time and complete the handover with the Seller in person;
(b) You will follow the rules of the venue, event, or establishment operating the line, and any lawful instructions of the Seller;
(c) You understand that QSpot does not guarantee that any venue, event, business, or third party will recognize or honour the transfer of a place in a line, and that QSpot is not responsible if it does not;
(d) You will treat the Seller, venue staff, and others in the line lawfully and respectfully, and will not damage property or disturb others.
QSpot transactions involve meeting another person face-to-face in a public place. You are solely responsible for your own safety. We encourage you to meet in well-lit, public areas, stay aware of your surroundings, and end any interaction that makes you uncomfortable. QSpot does not perform criminal background checks on users. Identity verification, where offered, confirms a user's identity document but does not guarantee any user's conduct or trustworthiness.
QSpot charges service fees on marketplace transactions. The total amount you will pay as a Buyer — including any QSpot processing fee — is shown to you in full before you confirm a purchase, and the fees deducted from a Seller's proceeds are disclosed before a listing is created. All payments are processed by our third-party payment processor, Stripe; QSpot does not store your full card details.
You are solely responsible for determining, reporting, and remitting any taxes that apply to amounts you earn through the Service. QSpot charges and remits GST/HST on its own service fees as required by Canadian law, and may collect and remit other taxes where required.
When a marketplace transaction completes, the Seller's proceeds are held for a short period (a dispute window) before being released, and are then transferred to the Seller through our payment processor. To receive payouts, a Seller must complete the payment processor's onboarding, including any identity or banking information it requires. If a Seller does not complete this onboarding within thirty (30) days after funds first become payable, the unclaimed funds may be forfeited. QSpot will notify you before any forfeiture and give you an opportunity to claim your funds.
QSpot offers an optional paid membership, QSpot Premium, which provides benefits such as reduced service fees. Premium is offered on a monthly plan (CAD $10.00 per month) and an annual plan (CAD $90.00 per year), sold through our website using Stripe. First-time members may be offered a free trial; if you do not cancel before the trial ends, your paid subscription begins automatically and your payment method is charged.
QSPOT PREMIUM IS AN AUTOMATICALLY RENEWING SUBSCRIPTION. It renews for successive periods at the then-current price until you cancel, and your payment method is charged at the start of each period. You may cancel at any time from your account page; cancellation stops future renewals, and your benefits continue until the end of the period you have already paid for. Subscription fees are non-refundable except where a refund is required by applicable law. We will notify you in advance of any change to the subscription price.
Either party may cancel a transaction before it is completed, in accordance with the options shown in the app. If a problem arises with a completed transaction, either party may raise a dispute within the dispute window shown in the app. While a dispute is open, the Seller's payout is paused. QSpot will review disputes and may, acting reasonably, resolve them by releasing, refunding, or splitting the disputed amount. QSpot service fees are generally non-refundable, except where a refund is required by applicable consumer-protection law. Nothing in these Terms limits any refund or other right you have that cannot be waived under applicable law.
You agree not to:
(a) Use the Service for any unlawful purpose or in violation of any applicable law;
(b) Post false, misleading, or fraudulent listings or reviews;
(c) Circumvent QSpot's payment system or conduct transactions outside the platform;
(d) Harass, threaten, intimidate, or discriminate against any other user;
(e) Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure;
(f) Collect or harvest other users' personal information without their express consent;
(g) Use automated scripts, bots, or other tools to access or scrape the Service;
(h) Impersonate any person or entity or misrepresent your affiliation with any person or entity.
By posting content on QSpot, including photos, descriptions, and reviews ("User Content"), you grant QSpot a non-exclusive, royalty-free, worldwide licence to host, use, display, reproduce, adapt, and distribute that content for the purpose of operating, promoting, and improving the Service, for as long as you keep the content on the Service and for a reasonable period afterward, and as required to comply with law. You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not infringe any third party's intellectual-property, privacy, or other rights.
All QSpot trademarks, logos, trade names, service marks, and software are the exclusive property of QSpot Technologies Inc. and its licensors. Nothing in these Terms grants you the right to use any QSpot intellectual property without prior written consent. Any feedback or suggestions you provide to QSpot may be used by QSpot without restriction or compensation to you.
Our Privacy Policy explains how QSpot collects, uses, and shares your personal information and is incorporated into these Terms by reference. By using the Service, you agree to the practices described in the Privacy Policy. QSpot is committed to complying with applicable privacy laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), British Columbia's Personal Information Protection Act (PIPA), Quebec's Law 25, and, where applicable, the California Consumer Privacy Act (CCPA/CPRA) and, for users in the European Economic Area, the United Kingdom, and Switzerland, the EU/UK General Data Protection Regulation (GDPR).
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. QSPOT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. QSPOT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, AND MAKES NO REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR QUALITY OF ANY LISTING OR USER CONTENT.
Nothing in this section excludes, restricts, or modifies any warranty, condition, guarantee, or right you have under applicable consumer-protection law that cannot lawfully be excluded or limited.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QSPOT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO QSPOT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD 100 / CAD 135).
IN NO EVENT SHALL QSPOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF QSPOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages or of statutory consumer rights. Nothing in this section limits any liability that cannot be limited under applicable law, including your rights under the British Columbia Business Practices and Consumer Protection Act and other applicable consumer-protection legislation.
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless QSpot Technologies Inc. and its officers, directors, employees, contractors, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of or inability to use the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any dispute between you and another user.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
For US Users: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), except that either party may bring a qualifying claim in small-claims court. You may opt out of this arbitration agreement by emailing admin@qspotmarketplace.com within 30 days of creating your account.
For Canadian Users: Please contact us first so we can try to resolve your concern directly. Any dispute we cannot resolve informally may, by agreement, be referred to arbitration under the Rules of the ADR Institute of Canada. However, NOTHING IN THIS SECTION requires you to arbitrate, or prevents you from commencing or joining a court action or class proceeding, to the extent that a mandatory-arbitration or class-action-waiver term is prohibited or made unenforceable by applicable consumer-protection law (including the British Columbia Business Practices and Consumer Protection Act and Quebec's Consumer Protection Act). Canadian users retain the right to bring a claim in the courts of British Columbia.
CLASS ACTION WAIVER: To the fullest extent permitted by applicable law, and except where prohibited by the consumer-protection laws referred to above, the parties waive any right to participate in a class action or class-wide arbitration.
For US Users: These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions, except that the mandatory consumer-protection laws of your state of residence continue to apply.
For Canadian Users: These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You and QSpot submit to the courts of British Columbia, without limiting any right you have to bring a claim in your home province where required by applicable law.
QSpot reserves the right, in its sole discretion, to suspend or permanently terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, without limitation, violation of these Terms, fraudulent activity, or conduct that QSpot determines to be harmful to other users or the Service. You may close your account at any time from the app's account settings, where available, or by contacting admin@qspotmarketplace.com.
QSpot may modify these Terms at any time. We will notify you of material changes by sending an email to the address associated with your account and/or by displaying a prominent notice within the Service. Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and QSpot regarding the Service and supersede all prior agreements and understandings.
